Terms and Conditions

1. Terms - Definitions

1.1 "Seller" means Cerint Ltd trading as Cerint Xpress.

1.2 “Buyer” means the person or company whose order for the Goods and/or Services is accepted by the Seller.

1.3 "Conditions" means the terms and conditions of sale set out in this document and (unless the context otherwise requires) any special terms and conditions agreed in writing by the Seller.

1.4 “Services” means any design or other services to be provided by the Seller pursuant to the Contract whether in relation to the supply of Goods or otherwise.

1.5 "Goods" means the goods (including any installment of the goods or any parts for them) which the Seller is to supply in accordance with these Terms.


2. Basis of Sale

2.1 The Seller shall sell and the Buyer shall purchase the Goods and/or the Services in accordance with any written order of the Buyer which is accepted by the Seller, subject to these Conditions. For the avoidance of doubt, the Seller may refuse any order in its absolute discretion.

2.2 All other terms and conditions (except those implied in favour of a seller which are not inconsistent with these Conditions) whether or not the same are endorsed upon, delivered with or referred to in any purchase order or any other document delivered or sent by the Buyer to the Seller are expressly excluded.

2.3 Receipt of the Goods by the Buyer or completion of the Services by the Seller shall be deemed to be conclusive proof that the Buyer has accepted these Conditions in the absence of any express or other implied acceptance of these Conditions by the Buyer.

2.4 No variation to these Conditions shall be binding unless agreed in writing between the authorised representatives of the Buyer and the Seller.

2.5 The Seller´s employees or agents are not authorised to make any representations concerning the Goods or Services unless confirmed by the Seller in writing. In entering into the Contract the Buyer acknowledges that it does not rely on, and waives any claim for breach of, any such representations which are not so confirmed.

2.6 Any advice or recommendation given by the Seller or its employees or agents to the Buyer or its employees or agents as to the Services or to the storage, application or use of the Goods (whether in conjunction with other materials or otherwise) which is not confirmed in writing by the Seller is followed or acted upon entirely at the Buyer´s own risk, and accordingly the Seller shall not be liable for any such advice or recommendation which is not so confirmed.

2.7 Any typographical, clerical or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by the Seller shall be subject to correction without any liability on the part of the Seller.

2.8 The Buyer shall provide to the Seller all information necessary to enable it to perform the Contract. If it does not do so, the Seller shall have such additional time to perform the Contract as may be required by it.


3. Orders and Specification

3.1 No orders for non-stock or manufactured items submitted by the Buyer either pursuant to any quotation or otherwise shall be deemed to be accepted by the Seller until and unless confirmed in writing by the Seller.

3.2 All orders are accepted subject to the necessary materials being available, in circumstances where the necessary materials are unavailable the Seller will as soon as practical give written notice to the Buyer. On giving such notice the Seller shall repay to the Buyer any sums paid in respect of the price of Goods that the Seller is unable to supply. The Seller shall not be liable for any loss or damage whatever arising from the Seller’s inability to supply due to the unavailability of necessary materials.

3.3 The Buyer will be responsible to the Seller for ensuring the accuracy of the terms of any order submitted by the Buyer and for giving the Seller any information in time to enable the Seller to perform the contract in accordance with its terms.

3.4 The quality, quantity, description and specification for the Goods shall be those set out in the Seller’s quotation or the Buyer’s order, and agreed by the Seller.

3.5 No order for non-stock or manufactured items accepted by the Seller can be cancelled by the Buyer.

3.6 In any circumstances where the Buyer cancels the order the Buyer shall indemnify the Seller in full against all loss, costs, damages, charges and expenses incurred by the Seller as a result of such cancellation.


Price and ordering

4.1 The price payable for the goods shall be the Seller´s quoted price or, where no price has been quoted (or a quoted price is no longer valid, usually 30 days ), is set out on the seller’s website at the time the Customer places their order.

4.2 When confirmation of an order is received, this is to indicate that the Seller have received the Buyer's order. It does not indicate that a contract exists between the Buyer and the Seller. The Seller will indicate acceptance of the Buyer's order, and hence a contract between the Buyer and the Seller, when the Seller sends the Buyer an invoice. The Seller have included this term to protect against a mistake in pricing, where the Seller has inadvertently under-priced or over-priced goods, or the Seller are no longer able to supply a particular product for some reason.

4.3 The Seller reserves the right, by giving notice to the Buyer at any time before delivery of the Goods or performance of the Services, to increase the Price to reflect any increase in the cost to the Seller which is due to any factor beyond the control of the Seller (such as, without limitation), any foreign exchange fluctuation, currency regulation, alteration of duties, significant increase in the costs of labour, materials or other costs of manufacture, any change in delivery dates, production runs, quantities or specifications for the Goods or the Services which is requested by the Buyer.

4.4 If the product is no longer available, the Seller will seek to offer the Buyer a suitable alternative.


5. Terms of Payment

5.1 Payment is required in advance for goods to be dispatched.

5.2 The Seller only accepts Cheque, Visa, Mastercard, Switch, Visa Electron and Debit Cards, Paypal, Bank transfer, and Cash/Bank payment as valid methods of payment.

5.3 For Credit/Debit cards and Paypal payments, Items will be paid for at the point of order. In the event that items have to be backordered or are not available, the Buyer will be given the option to cancel the order. If the Customer cancels the order they will not be charged.


6. Delivery and Title

6.1 For the purposes of this section "a Working Day" is defined as Monday, Tuesday, Wednesday, Thursday or Friday excluding public holidays in England.

6.2 Delivery is restricted to the United Kingdom.

6.3 Where stock is available the Seller will deliver the Buyer’s order in accordance with the delivery schedule set out in 6.4 to 6.9 below. Refer to 3 Back Orders where stock is not available. The courier will attempt to deliver once. After this it is the customer's responsibility to rearrange the delivery or collect the order from their local depot.

6.4 A delivery handling charge of £10.00 (dependant on selection, excluding VAT) will be charged on all orders with a total value less than £100 (excluding VAT). No handling charge will be charged on any orders with a total value more than £100 (excluding VAT).

6.5 The delivery schedule above does not apply to the following geographical areas; - Scottish Highlands and Islands incl. Aberdeen - Isle of Man - Northern Ireland - Jersey - Guernsey All prices exclude VAT.

6.6 All delivery dates are estimates only and the Seller will not be held liable for any delay in delivery of the goods howsoever caused.

6.7 If the Buyer fails to receive the goods on the quoted delivery date, the Seller reserves the right to store the goods until the Buyer can receive or collect the goods and charge all reasonable expenses relating to storage and additional costs of delivery to the Buyer.

6.8 Title to the goods will only pass to the Buyer on receipt of payment in full of the price of the goods including all relevant taxes and delivery costs. The Seller reserves the right to repossess goods in the Buyer's possession if payment is not made in full.

6.9 Cerint Xpress is an online shop, so it is not possible to collect your order from our warehouse.


7. Back Orders

7.1 If the goods the Buyer’s ordering are not in stock, the Seller will back order the goods for the Buyer and quote an estimated delivery date or offer a suitable alternative if the item is no longer available. The Buyer will always be emailed with the option to cancel their order if they do not accept the new delivery date or the alternative item offered is not acceptable.

8. Tax Charges

8.1 All orders will have 20% VAT added.


9. Guarantee

9.1 The Seller guarantees the Buyer's satisfaction. All of the Seller's standard stock products come with a 28 day money back guarantee on return of goods in an unspoilt, saleable condition.

9.2 The Buyer can notify the Seller by telephone, fax or email customersupport@cerintxpress.co.uk within 14 days of the receipt of the Goods.

9.3 The Buyer will bear the cost of returning the goods to the Seller unless the goods are being returned because they are incorrect or defective, in which case the Seller will arrange for the goods to be collected by their nominated carrier.

9.4 On receipt of the goods by the Seller the Buyer will receive a credit, exchange or refund to the total value of goods returned subject to the goods being returned in an unspoilt, saleable condition.


10. General Liability

10.1 Any claim by the Buyer which is based on any defect in quality or condition of the Goods or their failure to correspond with the specifications shall be notified to the Seller within three days of delivery (whether or not delivery is refused by the Buyer) or where the defect is not discoverable on reasonable inspection within a reasonable time after discovery of the defect or failure. If delivery is not refused and the Buyer does not notify the Seller accordingly the Buyer shall not be entitled to reject the Goods and the Seller shall have no liability for such defect or failure and the Buyer shall be bound to pay the price as if the Goods had been delivered in accordance with the contract.

10.2 Where Goods are shown to be defective at the time of delivery by reason of faulty workmanship or materials the Seller shall at it’s sole discretion be entitled to repair or at the option of the Seller replace the Goods free of charge but the Seller shall have no further liability to the Buyer.

10.3 Except for death and personal injury caused by the Seller’s negligence the Seller shall not be liable to the Buyer by reason of any representation, condition or term, or any implied warranty or duty at common law for any lawful damage whether direct, indirect or inconsequential caused by or arising out of the Goods supplied by the Seller whatsoever whether or not due to the negligence of the Seller, its employees or agents or otherwise which arises out of or in connection with the supply of the Goods and their use or resale by the Buyer except as expressly provided by these conditions.

10.4 In the event of any breach of this contract by the Seller the remedies for the Buyer shall be limited to damages. Under no circumstances shall the liability of the Seller exceed the price of the Goods.


11. Force Majeure

11.1 The Seller shall not be liable to the Buyer or be deemed to be in breach of contract by reason of any delay in performing or failure to perform any of the Seller’s obligations in relation to Goods if the delay or failure was due to any cause beyond the Seller’s reasonable control.


12. General

12.1 The terms and conditions shall be governed by and interpreted in accordance with English Law.

12.2 All pictures displayed are a representation of the item and may vary for the image displayed.


13. Offers and Promotions Online

13.1 Only one offer, voucher, discount or promotion is valid per order.

13.2 Any offer, voucher, discount or promotion can be withdrawn at any time without notice.

13.3 Offers and promotions only apply to RRP prices.

13.4 When delivery charges are incurred, these will be taken into account when price matching.
